The amended Employment Act 1955 now offers protection to a much larger category of employees irrespective of wages or occupation in Malaysia. Employers should note that since the effective date of the amended Employment Act 1955 is fast approaching (recently it was deferred to 1 January 2023), they should review and revise their employees’ employment contracts and policies to ensure compliance.

Franchising and Licensing

In Malaysia, franchising and licensing are governed under different laws. Franchising is governed under the Franchise Act 1998 (“the Act”) and is regulated by the Registrar of Franchises (“Registrar”) under the purview of Ministry of Domestic Trade and Consumer Affairs.

Licensing, on the other hand, is a form of private contract between parties and is governed under the law of contract. As such, if franchising is taken up as a mean of business expansion, then compliance with the Act is necessary and registration with the Registrar is also required. Licensing, on the other hand, is a contractual arrangement between parties and such contract has to be precisely drafted to reflect the parties’ intention and has to comply with the law of contract.

It states that a qualified trademark agent needs to fulfil the prescribed qualifications and pass the examination conducted by the Registrar of Trademarks. Therefore, a registered trademark agent is in better position to advise on how to register your trademark; whether it is registrable pursuant to the laws, how to optimise your trademark rights or other legal issues.
